Terms and Conditions:	Terms and Conditions: Authorization The client authorizes TTR Data Recovery or its designee to conduct an evaluation of the media sent to determine the nature of the damage and provide an estimate of recovery cost and timing. The evaluation is free and no work beyond this evaluation will be charged without the client's explicit approval. The client authorizes TTR Data Recovery, its employees, contractors, and agents, to receive and transport this media/equipment/data to, from and between their facilities. The client hereby represents, warrants, and affirms that he, she, or it is the owner or the authorized representative of the owner of the property and all of the information and data stored on the property. Failure to Claim Property Any property left with TTR Data Recovery unclaimed for 60 days, will be appropriately disposed of. At which time, TTR Data Recovery shall have no liability to the client or any third party. Limited Liability TTR Data Recovery shall not be liable as a result of this agreement, or the performance of any data recovery services, or evaluation of the possibility of providing data recovery services, for any claims regarding the physical functioning of equipment OR media or the condition or existence of data on storage media supplied before, during or after service. The client understands and accepts that data recovery cannot be guaranteed and is not promised or guaranteed. Some data cannot be recovered. In no event will TTR Data Recovery or any contractor, employee, or agent of TTR Data Recovery be liable for any loss of data or loss of revenue or profit or any special incidental, or consequential damages, however caused, in connection with this agreement or any service provided by TTR Data Recovery or its agents, contractors, or employees; even if TTR Data Recovery has been advised of the possibility of damage or loss to persons or property. TTR Data Recovery liability of any kind with respect to the services, including any negligence on its part, shall be limited to the contract price for the services. Client and TTR Data Recovery agree that the sole and exclusive remedy for unsatisfactory work or data shall be, at TTR Data Recovery's option, either (a) additional attempts by TTR Data Recovery to recover satisfactory data or (b) a refund of the amount paid by the client. The parties acknowledge that the price of data recovery services would be much greater if TTR Data Recovery undertook more extensive liability or promised additional remedies. Client is aware of the inherent risks of injury and property damage involved in data recovery, including without limitation, risks due to destruction or damage to the media or data and inability to recover data, or inaccurate or incomplete data recovery, including those that may result from the negligence of TTR Data Recovery, and assumes any and all known risks of injury and property damage that may result. Confidentiality and Warranty TTR Data Recovery agrees not to disclose any and all information or data files supplied with, stored on, or recovered from client equipment except to employees, contractors, lawyers, or agents of TTR Data Recovery subject to confidentiality agreements or as required by law. TTR Data Recovery makes no warranty, express or implied, and TTR Data Recovery disclaims any warranty of any kind, for the services being provided or discussed hereunder. Payment Payment is due in full upon completion of successful recovery, prior to release of data (whether shipped, picked up or downloaded), unless by special previous arrangement. The client is financially responsible for all shipping costs, custom duties and taxes to and from TTR Data Recovery. Company checks and bank transfers are welcome. We also accept VISA, MasterCard, American Express and Interact (debit bank card). Agreement The parties shall submit all disputes relating to this Agreement or to either party's performance hereunder, or any nature whatsoever, to arbitration, including but not limited to tort, contract, statutory, or equitable in accordance with the Rules of the American Arbitration Association, except that any claim in connection with TTR Data Recovery seeking equitable relief in connection with TTR Data Recovery's intellectual property rights may be brought in a court rather than in arbitration. Either party may enforce the award of the arbitrator in a court of competent jurisdiction. The parties understand that they are waiving their rights to a jury trial as to issues covered by this arbitration agreement. The arbitration shall take place in Virginia, and the laws of the State of Virginia shall apply. Pre-Dispute Notice to TTR Data Recovery: In exchange for the valuable services and consideration provided by TTR Data Recovery, the client agrees that at least 60 days before initiating any formal dispute with TTR Data Recovery, including the filing of any demand for arbitration, the client will first submit a sworn, written, and signed declaration to: 8300 Greensboro Drive, Suite 800, Mclean, VA, 22102 stating the client's name, the problems experienced with our conduct, in detail, an itemization of all losses claimed as a result of TTR Data Recovery conduct, and all information known to the client concerning any claimed contract breaches or other actionable conduct of TTR Data Recovery. This declaration must state, at the end of the text and above the signature, "I declare under penalty of perjury that the foregoing is true and correct." This declaration will allow TTR Data Recovery management to review factual information about the alleged dispute so that any issues may be evaluated and resolved, potentially without the need for further proceedings. The client and TTR Data Recovery agree that the sole and exclusive remedy for unsatisfactory work or data shall be, at TTR Data Recovery's option, additional attempts by engineers of TTR Data Recovery to recover satisfactory data or to refund the amount paid by the client in full or part. TTR Data Recovery will retain a copy of your recovered data for a period of seven days from the date of dispatch. During this period TTR Data Recovery will answer any queries concerning the recovered data and, if required, provide further copies. Any media left with TTR Data Recovery after 60 days, will be securely disposed of in an appropriate manner. At which time, TTR Data Recovery shall hold no liability to the client or any third party. The client understands that all media returned as part of TTR Data Recovery's free return service is provided via UPS service, unless otherwise agreed by a representative of TTR Data Recovery. As this service is non-trackable, TTR Data Recovery holds no responsibility for any media lost or damaged within the postal network. The client understand that TTR Data Recovery does not offer any guarantees or warranties of any kind and that the extent of any TTR Data Recovery's liability to the client is strictly limited to the fees you pay TTR Data Recovery for its data recovery service. All diagnostic reports are provided to the client via telephone or electronic mail, unless otherwise agreed by a representative of TTR Data Recovery. Due to the nature of data recovery, our technicians may be required to carry out physical work on the media. The client understands that the media/ data/ equipment you are making available to TTR Data Recovery is already damaged, that data recovery efforts may result in further damage. The client also understands that your media and/or equipment warranties may become void and that TTR Data Recovery is not responsible for this or any other type of damage. The client is aware that on occasions, TTR Data Recovery may be required to use additional media to continue with the diagnostic phase and / or carry out its recovery efforts. Examples of this include, but are not limited to, spare parts for disk drives and specific adaptors or connectors. TTR Data Recovery reserves the right to charge the client for such additional media, at an agreed cost. On rare occasions, TTR Data Recovery may require the client to cover some of the cost in attempting the recovery. This only applies when the recovery is complex or when severe damage has occurred. However, these are always provided as part of a no obligation, fixed price quotation, but are not offered as part of TTR Data Recovery's no recovery, no fee service. TTR Data Recovery agrees that any payment for a recovery will only be processed in the event that data is successfully recovered from the client's media. The client understands that due to the complex nature of data recovery, it is not always possible to recover all the information from the client's media. TTR Data Recovery makes no prevision for the completeness, relevance or importance of the data recovered for the client unless otherwise agreed in writing by TTR Data Recovery and the client.
